These Terms and Conditions (“Terms”) govern the use of services provided by Northpoint Acquisition Systems (unregistered business) (“we,” “us,” or “our”), operating in Quebec, Canada.

By accessing our website or using our services, you (“Client”) agree to be bound by these Terms.

1. Eligibility

Our services are provided exclusively to businesses. Individuals or consumers are not permitted to use our services.

2. Services

Northpoint Acquisition Systems provides reputation management and Google Reviews–related services, including but not limited to:

Review request automation

SMS and email follow-ups

Dashboards and reporting

Analytics and performance tracking

Services may include one-time setup fees, recurring subscriptions, or both, as agreed with the Client.

3. Payments

Setup fees are non-refundable.

Subscription fees are billed on a recurring basis.

Subscriptions may be canceled at any time; no prorated refunds are provided for unused periods.

Failure to pay may result in suspension or termination of services.

4. Client Responsibilities

The Client represents and warrants that:

They have the legal right and consent to share customer data with us

All data provided is accurate and lawfully obtained

Use of our services complies with applicable laws and platform policies

The Client is solely responsible for their business practices and communications.

5. No Guarantees

We provide services on a best-effort basis.

We make no guarantees regarding:

Number of reviews

Review ratings

Revenue, leads, or business outcomes

Platform approvals or visibility

Results vary and depend on factors outside our control.

6. Third-Party Platforms

Our services rely on third-party platforms (e.g., Google, SMS carriers, email providers, CRM software).

We are not responsible for:

Platform outages or downtime

Policy changes or enforcement actions

Account suspensions or limitations imposed by third parties

7. Data Ownership

Clients retain full ownership of their data

We process data only to deliver the agreed services

We claim no ownership rights over Client data

Data handling is further governed by our Privacy Policy.

8. Suspension and Termination

We reserve the right to suspend or terminate services immediately if the Client:

Violates these Terms

Uses the services unlawfully

Engages in behavior that risks platform compliance or reputation

Termination does not entitle the Client to refunds.

9. Limitation of Liability

To the maximum extent permitted by law:

Our total liability is limited to the amount paid by the Client in the 30 days preceding the claim

We are not liable for indirect, incidental, consequential, or special damages

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Quebec, Canada.

Any dispute shall be brought exclusively before the courts of Quebec.

11. Changes to Terms

We may update these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.
